Your Information - "Your Information" is defined as any information that you provide to us, and our users. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution of products and publication of Your Information. Your Information:
- Shall not be false, inaccurate or misleading.
- Shall not be fraudulent or involve stolen, counterfeit, or plagiarized material.
- Shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy.
- Shall not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti discrimination or false advertising).
- Shall not be obscene or contain child pornography.
- Shall not contain any viruses, Trojan horses, worms, time bombs, cancel bots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.
- Shall not create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers.
- Solely to enable Architecturals.net to use the information you supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright and publicity rights you have in Your Information, in any media now known or not currently known, with respect to Your Information. Architecturals.net will only use Your Information in accordance with our Privacy Policy.
- Shall not include direct contact information of any kind. You agree to use the messaging service and product pages implemented by Architecturals.net as designed, and not to exchange web sites, email, address, telephone numbers, or any other form of contact information. In the event of a sale however, all contact information must be included with the product.
- Breach - Without limiting other remedies, we may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you:
- If you breach this Agreement or the documents it incorporates by reference.
- If we are unable to verify or authenticate any information you provide to us.
- If we believe that your actions may cause legal liability for you, our users or us.
- No Warranty -OUR SUPPLIERS AND WE PROVIDE OUR WEB SITE AND SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. OUR SUPPLIERS AND WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
- Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.
- Liability Limit - IN NO EVENT SHALL WE OR OUR SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR SITE, OUR SERVICES OR THIS AGREEMENT (HOWEVER ARISING, INCLUDING NEGLIGENCE).
- Architecturals.net users indemnify and hold Architecturals.net harmless against any loss, expiration, or deletion of material or information on Architecturals.net servers, and all loss due to failure or down time.
- Indemnity - You agree to indemnify and hold us and our subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
- Architecturals.net acts as a conduit for matching sellers with buyers. In the event that there is a dispute between a seller and a buyer, you release Architecturals.net our agents and employees from claims, demands, and damages (actual or consequential) of every kind arising from or connected in any way with such disputes.
- Legal Compliance - You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your bidding on, listing, purchase, solicitation of offers to purchase, and sale of items.
- No Agency -You and Architecturals.net are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.
- Architecturals.net participants do not purchase any rights or ownership of any assets of Architecturals.net including but not limited to page design, web site artwork, web site layout, features and technology or any assets belonging to Architecturals.net
- Participants retain ownership of their original images, photos, and text uploaded to Architecturals.net Participants grant Architecturals.net non-exclusive publishing and distribution rights to all text and photos uploaded to Architecturals.net
- Arbitration - Any controversy or claim arising out of or relating to this Agreement or our services shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party settled by binding arbitration.
- Product Requirements - Participating Artisans and Craftsman agree to offer authentic handmade goods and services, and must list only products that are pertinent to Artisans and Craftsman.
- Architecturals.net reserves the right to remove any item, picture, or posting from our web site without further notice. Architecturals.net is not under any obligation to remove items or posts.
- Any and all claims against a participant or customer of Architecturals.net must be addressed directly to that person or entity.
- Architecturals.net holds our participants to the highest ethical standards. Our services are available only to individuals who can form legally binding contracts under applicable law.
- Architecturals.net reserves the right to refuse service to anyone and to discontinue existing service at any time.
- Returns - It is advised that Architecturals.net Sellers maintain an equitable return policy, however seller's policies shall prevail with regard to returns.
- Deposits made to Architecturals.net for use in our performance-based markets are not cash refundable and can only be redeemed through participation.
- Architecturals.net is not responsible for the sincerity of customers delivered through our performance based venues and we make no warranties as to the validity of the customer contact information provided. Any deposit monies collected as the result of customers who are deemed insincere or have been found to provide false or incomplete contact information will belong to and remain with Architecturals.net.
- Expenses - The Architecturals.net performance based marketing solution delivers registered customers on a cost per acquisition basis. Each Architecturals.net customer who obtains the direct contact information that you choose to display or is diverted to the target URL of your choice when the 'more information' link is activated will cause a $0.10 charge to your account. Architecturals.net requires a minimum $10 deposit, which will deliver a total of 100 Architecturals.net customers. Any given IP address can only levy a single charge against an item or service displayed for sale every 12 hours, which serves as protection against fraudulent charges. Featuring superior sales success by facilitating direct and immediate communication between buyer and seller, all of our charges are based on delivery of service.
- Fraud - Any and all claims or evidence of fraud by Architecturals.net members will be closely scrutinized. In the event that fraud is discovered the offending party will be removed and banned from Architecturals.net.
- Shipping - Customarily, actual shipping costs are paid by the buyer, however sellers policies shall prevail with regard to shipping.
